GE Aerospace (GE) is acquiring its long-term supplier Consolidated Precision Products (CPP) for $11.75 billion, essentially internalizing the precision casting segment—the most prone to “choking” in the aviation engine supply chain—to address supply bottlenecks amid surging demand. The transaction will test the company’s financing and integration capabilities in the short term, and the high valuation demands that synergies must materialize. However, if the integration succeeds, it will significantly enhance its production autonomy and technological iteration efficiency, further reinforcing its moat in the aviation engine sector. This move signals that aviation giants are shifting from relying on external procurement to proactively taking control of upstream critical manufacturing capabilities, potentially reshaping the center of gravity in industrial chain value distribution.
The transaction consideration comprises $7 billion in cash and additional debt financing. The sellers are private equity firms Warburg Pincus and Berkshire Partners. Headquartered in Cleveland, CPP specializes in manufacturing complex industrial components using superalloys, titanium, aluminum, and other materials, with products widely used in commercial and military aircraft engines, weapon systems, helicopters, and large gas-fired power generation equipment. The company operates more than 20 facilities globally and employs approximately 6,600 people, while GE Aerospace has been sourcing components from CPP for over 15 years.
This acquisition comes at a time when the aviation industry faces both robust demand and a fragile supply chain. In the second quarter of 2026, GE Aerospace’s engine deliveries and service revenue both achieved 26% year-over-year growth, with new engine production and aftermarket maintenance services competing for limited component resources. Bringing CPP into the fold means that GE Aerospace is attempting to transform a critical supply link into a self-controllable manufacturing capability, thereby strengthening the coordination among casting production, quality management, and engine design, improving delivery reliability, and paving the way for the mass production of next-generation engine technologies. The company plans to apply its proprietary lean operating system, “FLIGHT DECK,” to CPP to enhance capacity and operational reliability.
For investors, this transaction represents a major bet on a vertical integration strategy. GE Aerospace expects the acquisition to be accretive to adjusted earnings per share and free cash flow in the first year after closing. However, the costs are equally significant: after accounting for expected synergies, the valuation of CPP stands at approximately 18 times its projected 2027 EBITDA, and as high as 26 times without synergies, making the achievement of cost-saving targets critically important. In addition, the transaction is not expected to close until the second half of 2027, during which time it faces uncertainties related to regulatory approvals, financing, and integration. Management has stated that this transaction will not alter the company’s existing capital allocation plans.
