DeFi Technologies Closes $10 Million Private Placement

TORONTO, March 09, 2021 (GLOBE NEWSWIRE) — DeFi Technologies Inc. (the “ Company ” or “ DeFi ”) (NEO: DEFI, GR: RMJR) is pleased to announce that it has closed the previously announced non-brokered private placement financing of an aggregate of 5,000,000 common shares of the Company (each a “ Common Share ”) at a price of C$2.00 per Common Share for gross proceeds of C$10,000,000 (the “ Offering ”). DeFi intends to use the proceeds of the Offering for potential investment opportunities in the decentralized finance industry and general corporate purposes.

In connection with the Offering, the Company has paid aggregate finder’s fees of C$274,120 in cash to certain finders. The securities issued under the Offering are subject to a statutory hold period of four months and one day following the closing date, expiring July 10, 2021.

The securities to be offered pursuant to the Offering have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended (the ” U.S. Securities Act “) or any U.S. state securities laws, and may not be offered or sold in the United States or to, or for the account or benefit of, United States persons absent registration or any applicable exemption from the registration requirements of the U.S. Securities Act and applicable U.S. state securities laws. For these transactions, the Company has relied on the exemption from the formal valuation requirement contained in Section 5.5(a) of MI 61-101 and has relied on the exemption from the minority shareholder requirements contained in Section 5.7(1)(a) of MI 61-101.
